Terms of Sale and License

Last updated: [CHECK: launch date]

These terms apply when you use valiarchitects.com, create an account, buy licenses and use our SketchUp extensions ("extensions"). By doing any of these, you agree to them. If you don't agree, please don't use the website or the extensions.

Who we are: Vali Architects, a sole proprietorship in Hawaii, USA. Contact: chuck@valiarchitects.com.

Our Privacy Policy explains how we handle your information, and our Refund Policy explains refunds.

Your account

  • Age: you must be 18 or older to create an account.
  • Accurate details: give us accurate details, and keep your email address up to date. We use it for password resets, renewal reminders and questions about your orders.
  • Your password: keep it secret and don't share your account. You're responsible for what happens under your account. If you think someone else has used it, change your password and tell us.
  • Closing accounts: we may suspend or close an account that breaks these terms.

Buying

  • Prices: in US dollars, as shown on the website when you order. We don't collect sales tax, VAT or any other tax.
  • Payment: through PayPal or Stripe. Your order is complete when the payment is confirmed. Your licenses are then created and your files become available.
  • Price changes: we may change prices at any time. A change doesn't affect orders already paid. Renewals are charged at the price shown when you renew.
  • Digital content: our extensions are digital content delivered at once. By completing your order and starting a download, you agree that delivery begins immediately. Where the law gives a right to withdraw from a purchase of digital content, that right ends once the download begins.

The license

When you buy an extension, Vali Architects grants you a personal, non-transferable license to use it, on these terms:

  • One licensee: the license is for you, the person or business that bought it. You may not lend, sell, share or transfer it.
  • One computer at a time: each license works on one computer at a time. To move it to another computer (for example, a new computer or network adapter), use Reactivate on your licenses page.
  • Internet needed: the extensions check your license with our license server over the internet each time you use them, so they need an internet connection to work.
  • No changes or copies: you may not alter, copy for others, resell, or take apart the extensions or their installers. You also may not try to get around or interfere with their license checks.
  • Keep your installer private: your download is an installer made just for you. It contains your license details (see the Privacy Policy). Don't share it.
  • The one exception, DEMO licenses: the instructor a DEMO license was issued to may share it with participants in their class, seminar or workshop, for use during the DEMO period. The instructor is responsible for that sharing. Other licenses must not be shared.
  • Your models are yours: what you design with the extensions belongs to you.

Kinds of licenses:

  • Yearly licenses: a license runs for one year from purchase.
  • Instant Architecture: one Instant Architecture license covers all the extensions it includes.
  • DEMO licenses: time-limited licenses we may issue to an instructor's account for a class or seminar. Participants download the installer from the instructor's account and use it during the DEMO period. DEMO licenses can't be renewed, and their downloads are only available while the DEMO period runs.
  • Licenses we issue directly: for purchases arranged with us outside the website, these work like yearly licenses under these same terms.

Renewals and expiry

  • No automatic renewal: licenses don't renew automatically, and nothing is ever charged without your action. Each renewal is a one-time payment you make yourself.
  • How to renew: use the Renew box on the extension's page, or your licenses page.
  • Which license it extends: each renewal adds one year to your license of that extension that expires first. It's added from its expiry date if that's still ahead, otherwise from the day you renew.
  • Limit: a license can't be extended to end more than about two years ahead. The website tells you how many renewals are possible.
  • Valid until its expiration date: a license is valid until its expiration date. After that, the extension may stop working until the license is renewed.
  • Downloads after expiry: you can still download your files after a license expires. The extension needs a current license to run.

Availability and support

We work to keep the website and the license server running, but we can't guarantee uninterrupted service. Things outside our control, such as internet outages, can affect them. If something goes wrong, we'll work to fix it quickly. Updates are available on your downloads page while you have a license.

"As is", and limits of our liability

As is: the extensions and the website are provided "as is" and "as available", without warranties of any kind. That includes any warranty that they'll meet your needs, be free of errors, or work with every version of SketchUp or every computer. Please check that an extension suits you before buying: read its description and tutorials, and ask us if you're unsure.

Limits: as far as the law allows, Vali Architects isn't liable for any indirect, incidental, special, consequential or punitive damages, or for lost data, profits or time, arising from your use of the website or the extensions. Our total liability for any claim is limited to the amount you paid us for the license concerned in the 12 months before the claim.

Some places don't allow some of these limits. Where that's so, they apply only as far as the law allows.

Chargebacks

If you dispute a payment with your bank or card company (a chargeback) instead of contacting us, we may close your account and end the licenses involved. Please contact us first: most problems can be solved quickly.

Our website and content

  • Copyright: the website's text, images, tutorials and the extensions are protected by copyright. They belong to Vali Architects or its suppliers. You may use them to learn about, buy and use our extensions.
  • Other websites: links to other websites are for your convenience; we're not responsible for their content.
  • SketchUp: SketchUp is a trademark of Trimble Inc. Vali Architects is not affiliated with Trimble.

Disputes and governing law

These terms are governed by the laws of the State of Hawaii, USA.

If a dispute arises, please contact us first, and we'll try to resolve it. If we can't, it will be decided by the courts located in Kauai County, Hawaii.

Changes to these terms

We may update these terms. The new version will be posted here with a new "Last updated" date. Changes apply to orders placed after that date.
